1. Acceptance
By creating or using an UpCliq account, you agree to these Terms and the Privacy Policy. If you do not agree, do not use the service. Material updates may require renewed acceptance.
2. Eligibility
You must be at least 18 years old and legally able to enter an agreement. You must not use UpCliq if you are prohibited by law or previously removed for serious misconduct. Additional eligibility rules may apply to particular features or jurisdictions.
3. One account, separate experiences
Your account may activate Dating, Networking, Events and future experiences. Information does not automatically become public across every experience. You are responsible for choosing appropriate visibility and reviewing information before publishing or sharing it.
4. Account responsibilities
- Provide accurate account information and keep it current.
- Protect your password and device access.
- Do not sell, transfer or share your account.
- Notify UpCliq of suspected unauthorized access.
- Do not create deceptive, duplicate or impersonation accounts.
5. Consent and safety
A connection, match or event attendance never implies consent to contact, sexual activity, commercial solicitation, recording, identity disclosure or sharing someone’s information. Respect boundaries and stop contact when asked. Do not use UpCliq for harassment, threats, exploitation, stalking, discrimination, fraud or unlawful conduct. In an emergency, contact local emergency services rather than relying on UpCliq.
6. User content
You keep ownership of content you create. You give UpCliq a non-exclusive, worldwide, royalty-free licence to host, process, reproduce and display that content only as needed to operate, secure and improve the service according to your settings. You must have the necessary rights to anything you upload. Do not upload illegal, deceptive, abusive, privacy-invasive or infringing material.
7. Events and offline interactions
Hosts are responsible for accurate event details, lawful venues, safety planning and required permissions. Attendees are responsible for their own judgment and conduct. Unless expressly stated, UpCliq is not the host, venue operator, employer, agent or guarantor of user-created events or offline interactions.
8. Professional and business information
Networking profiles and exchanges are self-published unless a specific verification badge clearly states what was verified. UpCliq does not endorse a person, company, qualification, opportunity, investment or service merely because it appears on the platform.
9. Artificial intelligence
AI-generated suggestions may be incomplete, inaccurate or inappropriate. They are assistance, not legal, medical, financial, employment or safety advice. Users remain responsible for decisions and communications made using AI features.
10. Moderation and enforcement
UpCliq may investigate reports; limit visibility; remove content; restrict features; suspend or close accounts; preserve evidence; and cooperate with lawful authorities. Enforcement decisions may consider severity, context, history and safety risk. An appeal process will be provided for eligible decisions before broad launch.
11. Pilot availability
The service is under active development. Features may change, pause or be limited by country, account type or invitation. We do not promise uninterrupted availability or that every planned vertical will launch.
12. Paid services
No payment is required for the current controlled pilot unless clearly presented. Before subscriptions, tickets, marketplace sales or paid communities launch, pricing, taxes, cancellation, refund and seller terms will be published for the applicable region.
13. Disclaimers
To the extent permitted by law, UpCliq is provided “as is” and “as available.” We do not guarantee matches, relationships, attendance, business outcomes, identity, compatibility, income or the conduct of users. Nothing in these Terms excludes warranties or consumer rights that cannot legally be excluded.
14. Liability
To the extent permitted by law, UpCliq is not responsible for indirect, incidental, special or consequential losses arising from use of the service or user interactions. Any limitation will not apply where prohibited, including for liability that cannot legally be limited. Final monetary limits must be reviewed with counsel before paid services launch.
15. Governing law and disputes
These Terms are governed by the laws of Ontario and the federal laws of Canada applicable there, without removing mandatory rights you have under the law of your residence. The parties should first attempt good-faith informal resolution. Region-specific dispute and consumer provisions may supersede this section where required.
